GeneDx investors sue over acquisition disclosure amid stock plunge

NEW YORK and NEW ORLEANS, July 4 — A securities class action lawsuit has thrown a spotlight on whether GeneDx Holdings Corp. accurately disclosed the performance of a recent acquisition, after the company’s stock lost roughly half its value. Lawyers for investors allege that the biotechnology firm made false or misleading statements about the acquisition’s results, leading to a share price decline that wiped out about 49 percent of market value.

The case, which centers on disclosures made between April 16, 2025 and May 4, 2026, has prompted a reminder from Kahn Swick & Foti, LLC (KSF) and its partner, former Louisiana Attorney General Charles C. Foti, Jr., that investors with substantial losses must file lead plaintiff applications by August 3, 2026 to have a direct role in the litigation.

The Allegations and the Class Period

The lawsuit covers anyone who purchased or otherwise acquired GeneDx shares during the eight-week period that began April 16, 2025 and ended May 4, 2026. According to the complaint, the company issued statements concerning the acquisition’s performance that did not match the technical reality. The corrective disclosure that triggered the sharp decline came shortly before the class period closed on May 4, 2026, causing a rapid erosion of shareholder value.

KSF, a law firm with a history of securities fraud litigation, is not filing the lawsuit itself but is informing investors of their right to seek lead plaintiff status under the Private Securities Litigation Reform Act. Under that law, the court typically appoints the investor or group of investors with the largest financial interest as lead plaintiff, provided they meet procedural requirements.

GeneDx has not yet filed a substantive response to the allegations, and the litigation remains in its early stages.

GeneDx: From NIH Origins to Public Company

GeneDx is an American biotechnology firm that provides genomic diagnostics to identify rare and inherited disorders. Scientists from the National Institutes of Health founded the company in 2000, starting in a biotech incubator to offer testing for patients with ultra-rare conditions. BioReference Laboratories acquired the business in 2006, and a later acquisition by Sema4 in 2022 prompted a strategic shift.

The company rebranded to focus on whole exome and whole genome sequencing for pediatric patients and now maintains a large dataset of sequenced genomes and phenotypic data. It works with hospitals and health systems to advance genomic medicine.

In recent years, GeneDx has seen a sharp rise in revenue and posted its first profitable quarter, driven in part by expanded research and biopharma partnerships. The current legal dispute questions the accuracy of corporate disclosures during a period when the company was integrating an acquisition. Investors rely on these reports to value biotechnology stocks, and when reported performance diverges from reality, the market can deliver a blunt reassessment.

The 49 percent decline reflects that gap between promise and performance, according to the market’s reaction.

What Lies Ahead for Investors

For investors who bought shares during the class period and watched the value erode, the immediate next step is the August 3 deadline for lead plaintiff applications. Missing that deadline means the investor risks being bound by any settlement or judgment without having had a direct hand in the litigation.

KSF’s announcement serves as a pointed reminder of that procedural cutoff. What to watch next includes whether other institutional investors step forward to consolidate the lead plaintiff role, and how GeneDx frames its defense when it eventually responds to the complaint. The case underscores the challenges of post-acquisition integration in the biotechnology sector, where revenue synergies and cost savings are often highlighted in investor presentations but can fail to materialize.

The details that emerge from the complaint and any subsequent filings will clarify what exactly the company communicated about the acquisition and where the alleged misrepresentations occurred. The class period’s start date of April 16, 2025 suggests that the alleged misstatements began when GeneDx announced or discussed the acquisition in question.

As the legal process unfolds, the August 3 deadline will concentrate minds among shareholders seeking a lead role in the litigation.
